How these terms apply
The General Terms apply to every client. You only need to review the Service-Specific Terms for the services identified in your proposal, invoice, order, Stripe payment link, or other written agreement with HCOM.

General Terms
Services and scope
The specific services, pricing, billing schedule, and deliverables included in your engagement will be identified in your proposal, invoice, Stripe payment link, or other written agreement with HCOM.
Services or work not specifically included in the agreed scope may require additional fees. If these Terms conflict with a signed written service agreement, the signed service agreement will control for the subject of that conflict.
Client responsibilities
You agree to provide HCOM with the information, approvals, account access, website access, business information, creative materials, and other resources reasonably necessary to perform the purchased services. You represent that you are authorized to provide any accounts, materials, data, and access supplied to HCOM.
Delays in providing required information, approvals, or access may delay the start or completion of services, including any stated campaign or project timeline.
Changes to important business assets
HCOM will use reasonable efforts to notify you before making major changes to client-owned websites, advertising accounts, Google Business Profiles, or other important business assets. Routine optimization, maintenance, and campaign adjustments included in the purchased service may be made without advance notice.
Pricing, billing, and payment authorization
Pricing and billing frequency will be shown in your proposal, invoice, or payment link. Recurring plans will continue to be billed at the agreed interval until canceled or otherwise terminated in accordance with these Terms and any applicable written service agreement.
You authorize HCOM and its payment processor to charge the payment method provided for recurring amounts when applicable. If payment becomes past due, HCOM may suspend some or all services until the outstanding balance is paid.
Websites included with recurring plans
If HCOM creates, provides, hosts, or maintains a website as part of a recurring monthly service plan, the website is provided for use only while the applicable account remains active and in good standing.
Unless a separate website purchase or ownership transfer has been agreed to in writing and paid in full, HCOM retains ownership of the website design, source code, development work, and related website assets created by HCOM.
If the applicable monthly service is canceled, terminated, or becomes past due, HCOM reserves the right to suspend or take the HCOM-provided website offline. HCOM is not required to transfer the website, source code, design files, or other HCOM-created website assets to the client.
Website purchase and buyout
Clients may purchase their website outright through a separately quoted flat-fee website purchase or buyout. Website ownership will transfer only when the agreed purchase price has been paid in full and the transfer has been confirmed in writing.
A domain name owned or purchased directly by the client remains the client’s property. Third-party software, plugins, fonts, themes, licenses, APIs, and other third-party assets remain subject to their respective licensing terms and may not be transferable.
Cancellation and termination
Either party may terminate recurring services in accordance with any cancellation requirements stated in the applicable proposal or service agreement. Cancellation does not eliminate amounts already owed for services performed or billing periods that have already begun, unless otherwise agreed in writing.
Upon cancellation or termination, HCOM may discontinue work, remove its access from client accounts, disable HCOM-owned services, and suspend HCOM-provided websites that were supplied as part of a recurring service plan.
No guarantee of results
HCOM does not guarantee specific rankings, impressions, clicks, leads, sales, revenue, return on ad spend, or other marketing results unless a specific guarantee is expressly provided in a separate written agreement.
Search engines, advertising platforms, social networks, and other third-party services are outside HCOM’s control and may change their algorithms, policies, pricing, availability, or account eligibility at any time.
Third-party platforms and services
Many HCOM services depend on third-party platforms, including Google, Meta, Microsoft, email providers, SMS providers, hosting providers, analytics providers, and other services.
HCOM is not responsible for outages, account suspensions, policy changes, algorithm changes, rejected advertisements, platform errors, or other actions taken by third-party providers that are outside HCOM’s reasonable control.
Ownership and intellectual property
Client-provided logos, trademarks, photographs, written materials, and other client-owned content remain the client’s property.
HCOM retains ownership of its pre-existing materials, internal processes, templates, software, code libraries, systems, strategies, and other proprietary materials unless expressly transferred in writing. Websites and website assets are also subject to the ownership terms stated above.
Limitation of liability
To the maximum extent permitted by law, HCOM will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages resulting from the use of our services, third-party platforms, advertising campaigns, websites, search engine changes, account suspensions, or other circumstances outside our reasonable control.
Service-Specific Terms
The following terms apply only when the named service is included in your proposal, invoice, order, payment link, or other written agreement with HCOM.
Local SEO
Local SEO services may include Google Business Profile optimization, website optimization, competitive research, local search optimization, citations, reporting, content, and ongoing adjustments, depending on the purchased plan.
Local SEO campaigns may be designed around improving visibility for specific keywords and geographic target areas, including attempting to achieve Top 3 Google Maps visibility. Rankings are not guaranteed and may fluctuate due to competition, search engine algorithms, proximity, searcher location, Google policies, and other factors outside HCOM’s control.
Any stated campaign timeline begins once HCOM has received the access and information reasonably necessary to begin work.
While a qualifying Local SEO engagement remains active, HCOM may agree not to provide competing Local SEO services to another business in the same industry and agreed target area. Any exclusivity arrangement must be confirmed as part of the client’s service agreement.
Website Design
Website projects include only the pages, functionality, revisions, and deliverables specified in the client’s proposal or order. Additional pages, features, revisions, integrations, or other work may require additional fees.
When a website is purchased for an agreed flat fee, ownership of HCOM-created website materials included in the purchase will transfer after payment has been made in full, subject to any third-party licenses or services.
Websites provided as part of a recurring Local SEO, advertising, website, or other monthly service plan remain subject to the website ownership and suspension provisions in the General Terms.
Google Ads
Google Ads services may include campaign creation, keyword research, targeting, conversion tracking, ad creation, campaign optimization, bid management, and reporting, depending on the purchased plan.
Advertising spend paid to Google is separate from HCOM’s management fees unless expressly stated otherwise.
HCOM does not guarantee advertisement approval, specific placement, click volume, lead volume, cost per lead, conversions, sales, or return on ad spend.
PPC Advertising
PPC Advertising services may include campaign setup, targeting, keyword research, advertisement creation, optimization, tracking, and reporting on supported advertising platforms.
Advertising spend is separate from HCOM’s service or management fees unless expressly stated otherwise. Results, costs, advertisement approvals, and campaign availability are ultimately affected by the applicable advertising platform and market conditions.
Social Media Advertising
Social Media Advertising services may include paid campaign creation, audience targeting, creative preparation, campaign management, retargeting, optimization, and reporting on platforms such as Meta and other supported social networks. Unless expressly included in the purchased plan, this service does not include ongoing organic social media posting or community management.
Advertising spend is separate from HCOM’s management fees unless expressly stated otherwise. HCOM does not guarantee advertisement approval, engagement, leads, sales, conversions, or other campaign results.
Email & SMS Marketing
Email and SMS Marketing services may include campaign setup, messaging, automation, segmentation, campaign management, and reporting, depending on the purchased plan.
The client is responsible for ensuring that contact information, subscriber lists, and marketing permissions supplied to HCOM were obtained lawfully and may legally be used for the requested marketing communications. The client agrees not to provide HCOM with purchased, scraped, unlawfully obtained, or otherwise unauthorized contact lists.
HCOM may refuse to send or assist with communications that we reasonably believe violate applicable law, platform rules, carrier requirements, or industry standards.
Changes to these terms
HCOM may update these Terms from time to time. Material changes affecting an active client’s existing service agreement will not retroactively change amounts already paid or obligations already completed unless agreed by both parties.
